PAYROLL, PERSONAL INCOME TAX AND INSURANCES SERVICES
SCHEDULE SERVICES OF PAYROLL, PERSONAL INCOME TAX AND INSURANCES
1.1 Employment Services:
(a) To complete all formalities for registering new employees with the Department of Labour, War Invalids and Social Affairs (‘Department Of Labour”) that are not required by Vietnamese laws to be completed by Party A itself;
(b) If necessary, complete all formalities for obtaining labour books for new employees;
(c) To prepare and submit any reports on labour required by laws of Vietnam to be submitted by Party A;
(d) As requested by Party A, provide Party A with assistance to deal with the Department of Labour in relation to any employment related matter.
1.2 Taxation Services:
(a) To complete all formalities to register employees with the Department of Taxation for personal income tax (“PIT) purposes;
(b) To complete all formalities for obtaining employee tax codes;
(c) To calculate employee PIT obligations and notify Party A accordingly;
(d) To complete all formalities for monthly declarations of employee PIT and, upon receipt of payments from Party A, settle employee PIT to the Department of Taxation;
(e) To complete all formalities for yearly finalization of employee PIT and, upon receipt of payments from Party A, pay any additional amounts owed in respect of any Employee to the Depanment of Taxation or,

where a refund is due to Party A, complete all formalities for obtaining such refund;
(f) To prepare tax receipts for employee’s (as required);
(g) As requested by Party A, assist Party A to deal with the Department of Taxation in relation to any PIT related matter.
1.3 Social, medical & unemployed insurance services:
(a) To complete all formalities to register employees for social and health insurance purposes;
(b) To complete all formalities for obtaining employee health insurance cards;
(c) To complete all formalities for obtaining employee social insurance books;
(d) To calculate the fees of the social, medical, unemployed insurances of which Party A and the employee will pay in accordance with the relevant laws of Vietnam;
(e) Upon receipt of payments from Party A, pay the fees of the social, medical & unemployed insurance contributions to the social insurance body;
(f) To prepare and submit to the social insurance body quarterly and yearly reports on employee social and health insurance contributions and such other reports in relation to social, medical & unemployed insurance fees that may be required by Vietnamese laws;
(g) To complete all formalities to obtain employee entitlements in relation to maternity leave, sick leave, retirement and death and any other entitlements;
(h) To finalise each employee’s social insurance book with the social insurance body and guide employee for all formalities to receive the unemployed insurance (as requested by the employee) when an employee’s employment is terminated with Party A;
(i) As requested by Party A, does any other things required and necessary for Party A and/or the employees in relation to social and health insurance and assists Party A to deal with the social, medical & unemployed insurance body.
1.4 Payroll services:
(a) Upon receipt of payments from Party A in accordance with Article 4, and in accordance with Party A’s payment instructions for each employee, pay each employee their salary and allowances (if any) specified in the employee’s labour contract (as amended from time to time) minus the employee personal income tax and social, medical & unemployed insurance fee contributions.
(b) To assist Party A to calculate employee entitlements upon termination of employment
1.5 Miscellaneous Services
To assist Party A with obtaining Airport Security Passes for all Party A’s employees.
